What is 'Goodwill'?

When acquiring a company, it is the amount paid in excess of the target's net asset value.

For example, suppose you buy a company with 5 billion yen in net assets for 15 billion yen. What was the extra 10 billion yen paid for? It is for value not recorded on the balance sheet—such as brand, engineers, customer relationships, and future earning power. This 10 billion yen is recorded as 'goodwill' on the buyer's assets.

Both Thermo Fisher and Danaher have repeatedly made acquisitions over several decades. Therefore, on both companies' balance sheets, huge amounts of goodwill and intangible assets have accumulated.

This is an important point. Since goodwill is an asset, it inflates the denominator of ROE (Return on Equity) and ROIC (Return on Invested Capital).
