🏗Nippon Steel is buying US Steel!? A simple explanation of the acquisition drama that progressed with Trump's approval!
Hello, I'm Kattobei!
As a salaryman investor, I enjoy steady high-dividend and trending stock investing!
This time, I'll be talking about a topic that's been in the news lately,
“It looks like the story about Nippon Steel acquiring the major American steelmaker US Steel is moving forward!”
I will explain this rather large-scale topic
“as simply and clearly as possible”💡
🔧First, what kind of company is US Steel?
🏢Founded in 1901, a leading American steel company
🗽Headquartered in Pittsburgh
🛠Over 100 years of history in steel production
Recently, it hasn't been doing so well due to intensifying competition and aging facilities...
In short, it's an “American legendary steel manufacturer.”
🔨So, what kind of company is Nippon Steel?
🇯🇵Japan's largest steel company formed by the merger of Nippon Steel and Sumitomo Metal
🏭Provides steel materials to a wide range of industries such as automotive and construction
🌍It is also advancing global expansion, and with this US Steel acquisition,
it could become the world's second-largest steel manufacturer!
💸So, why are they acquiring it?
✔ Want to increase their presence in the US market even further
✔ Steel is fundamentally based on local production for local consumption = being able to produce locally is a huge advantage
✔ Want to reform US Steel's factories and technology using the Nippon Steel style!
→In other words, strengthening their global strategy with the US as a base is what it's all about.
🇺🇸However, things were a bit noisy within the US...
When the story of the US Steel acquisition came out,
🛑“It's not okay for national assets to be sold to a foreign country!”
⚠️“Jobs might decrease...”
😡 "Our patriotism has been wounded!" (Labor Union)
With feelings like that, there was quite a bit of backlash.
The Biden administration also jumped on this sentiment, leading to a temporary halt of the acquisition.
🧨 But, the tide turned completely in May 2025!
Surprisingly...
former President Trump "approved" this acquisition.
✅ "I recognize this as a partnership"
✅ "If it increases jobs, it's OK"
✅ "I also welcome the $14 billion (approx. 2 trillion yen) investment"
So, Trump gave the green light to the acquisition 💥
📈 So, what happened to the stock prices?
🇺🇸US Steel's stock price rose by 21%!
🇯🇵Nippon Steel's stock price fell slightly(temporary profit-taking?)
It feels like the "acquisition expectations" on the US Steel side have risen all at once.
🔍 Let's take a look at the three hurdles to completing the acquisition!
🏛 ① Approval from CFIUS (Committee on Foreign Investment in the United States)
✅ "An important American company is being bought by a foreign entity, but is it okay in terms of national security?"
Checking this is the job of a government agency called **CFIUS**.
The Nippon Steel x US Steel acquisition also involves:
✔ The US steel industry is related to infrastructure and defense
✔ There are past examples where acquisitions by Chinese companies were rejected
Because of this, a careful review is required.
However, now that Trump has said it's "OK as a partnership,"
there is an impression that the atmosphere has become a bit easier to "get it through."
✊ ② Building a relationship with the labor union
US steel companies = the presence of labor unions is extremely strong.
US Steel naturally has a union, and at first, they were in
😡 "Are you going to let a Japanese company hold our future in their hands?"
mode of fierce opposition.
However, the atmosphere has changed slightly now that Trump has
started saying, "I will protect jobs, and in fact, increase them."
Going forward, the key is whether Nippon Steel can properly engage in dialogue by saying,
We will not close any factories.
We will protect salary levels and working conditions.
🧩③ How will management be handled after the integration?
Honestly, this is the most important point.
How will you resolve the overlap in factories and personnel?
How will you overcome differences in culture, language, and decision-making speed?
Will you keep the local management team as is, or replace them?
How will you integrate technology and know-how?
Whether this "realistic post-acquisition management" goes well will determine whether the
acquisition is a "success" or ends up being an "expensive purchase."
These are all challenging issues, but
conversely, if they can clear these hurdles,
I think Nippon Steel is at a stage where an incredible form of global growth is coming into view! 💪
☕ Summary: "The story of an iron giant going on the offensive globally"
📋 Summary of this article
Nippon Steel plans to acquire US Steel for approximately 2 trillion yen.
There was opposition for a time, but Trump approved it, and it moved forward all at once!
Stock prices reacted, with US Steel surging and Nippon Steel adjusting slightly.
In the long term, this acquisition might redraw the power map of the global steel industry!
I will continue to watch
to see how Nippon Steel performs on the world stage! 👀
